TERMS AND CONDITIONS OF PURCHASE

1. General:
a) These terms and conditions of Purchase and Delivery shall apply to all supplies and services of
Easy Move and/or its authorized dealers and sales outlets, hereafter called the Company.
b) Offers of the Company shall be without engagement and non-binding; they shall be understood
to be a request of the Customer to submit a contract offer.”
c) Unless and otherwise specifically mentioned in the offer, the validity of the offer is 30 calendar days.
d) The placing of an order by the Customer subject to these Conditions of Purchase shall constitute the entire Contract between the Company and the Customer.”
e) All orders shall be deemed concluded if the Company has accepted and confirmed by way of acknowledgement.
2. Terms of Payment:
a) In the case of cash sales, payment of the total price (less any deposit already paid) shall be made by the Customer to the Company, at the latest on delivery of the equipment and/or services.
b) In case of payment by ‘Demand draft’ and or Cheque, the product shall be delivered only after
realization of the payment. All DD and Cheque should be in favour of the Company only.”
c) In case of sales financed by a loan from a finance company, delivery of equipment and/or services will take place when the application for the loan has been approved by the finance company.”
d) All duties and taxes are subject to changes as per Government of India/State Government norms at the time of the delivery to the Customer.”
3. Terms of Delivery:
a) The Company shall use its best endeavours to fulfil promptly all orders made by the Customer,
but it will not be responsible for any delays due to matters beyond its control.”
b) In case the Customer cancels the order after the product is shipped from Company location to Customer location, then the Company has the right to withhold the advances paid and recover the complete logistics, packing or any other administrative cost at actual which are involved to transit the product.”
4. Passing of property:
a) All goods remain the property of the Company until payment is received in full.
5. Warranty:
a) The Company will repair or replace at lowest possible cost any part or parts of equipment sold by it which are defective due to faulty materials or workmanship within the warranty period stated on the order form, which will commence on the date of delivery.”
b) The Company shall not be under any liability under paragraph 5a hereof in respect of any equipment which has been altered, tampered with or used otherwise than in accordance with the instructions issued by the Company.
c) Please refer to the ‘Handbook & Service Manual’ for detailed terms & conditions on Warranty.
6. Applicable law:
This Contract shall be interpreted under the laws of and governed by the laws of India/local applicable laws. In case of any arbitration, the dispute shall be finally resolved by the courts responsible for the respective area within India. The arbitration shall be conducted in English language.
